WHEREAS

Pause Atelier dei Sapori S.r.l. (hereinafter, ‘Pause’ or the ‘Company’) is the wholly-owned subsidiary of Fondazione Reggio Children - Loris Malaguzzi Centre ETS, which provides catering and food services, but first and foremost, in synergy with the aims of the Sole Shareholder, research into the culture of food and the development of projects in connection with the territory. Pause uses, for its institutional activities, spaces at the Loris Malaguzzi International Centre located in Reggio Emilia, Via Bligny no. 1, as better identified in the plan (Annex 1). In particular, within the Loris Malaguzzi International Centre, Pause has the availability - on the ground floor - of the cafeteria and, on the first floor, of the Pause restaurant, with a capacity to seat approximately 400 people, as well as its kitchen and technical spaces.

By resolution of Pause Atelier dei Sapori S.r.l. dated 20/12/2024, it was determined to lease the branch of Pause's business relating to the catering service for the duration of 5 years and in any case until 31/12/2029, after market analysis to find the best conditions for leasing the branch of the business in question

Therefore, it is appropriate to sound out the market in advance with a specific notice in order to verify whether there are any legal entities interested in leasing the branch of business in question

NOTICE

that it intends to collect expressions of interest for the lease of the business unit of the company Pause Atelier dei Sapori S.r.l., with sole shareholder, based in Via Bligny no. 1 in Reggio Emilia, relating to the catering service.

The purpose of this notice is to verify any interest on the part of several legal entities potentially interested in participating in a subsequent negotiation. This notice is to be understood to be merely for the purpose of collecting expressions of interest and does not entail any right of pre-emption or preference, nor any commitment or obligation on the part of either the parties submitting the expression of interest or Pause.

The expression of interest relates to the leasing of Pause's branch of business relating to the catering service, as described below. However, Pause reserves the right at any time to withdraw this notice or not to proceed with the subsequent negotiation, for reasons falling within its exclusive competence, without the interested parties being entitled to claim any reimbursement or compensation for completing the expression of interest or any acts relating thereto.

1. DESCRIPTION AND OBJECT OF THE BRANCH OF BUSINESS

The subject of this notice is the leasing, for a term of 5 years and in any case until 31/12/2029, of Pause's branch of business relating to the catering service; the branch consists of 14 employees, the premises of which are shown in Annex 1 with an equipped kitchen. The average turnover in the last 3 years is 1,440,000 €. More information will be provided during any subsequent negotiations.

2. PROCEDURES FOR THE SUBMISSION OF APPLICATIONS.

Interested parties must submit expressions of interest by 25/01/2025 at 6.00 p.m. by PEC to the following address: pauseatelierdeisaporisrl@pec.it

The expression of interest must be drawn up in compliance with the provisions contained in this notice, preferably using the attached form with an attached photocopy of the valid identity document of the signatory.
