Fondazione’s governance reflects its nature as an international research and solidarity body.

Board of Directors
Pursuant to Art. 16 of the Bylaws, the Board of Directors shall be assigned all powers for ordinary and extraordinary management, unless jurisdiction is assigned by law or the Bylaws to the General Assembly of Founders and the General Assembly of Supporting Members, without prejudice to the powers specifically identified for the President and the Managing Director.
To this end, each member of the Board of Directors must act within the body with competence, professionalism and independently of the body or subject that appointed him/her as a member of the Board of Directors. Currently, the Board of Directors consists of:

Scientific Committee
The Scientific Committee carries out, along with the Founders’ Assembly, the Board of Directors and the Managing Director of the Foundation, a consultancy, update and monitoring function with regard to the three-year Guidelines for the Foundation’s activities, the yearly initiatives schedule (art. 21 of the Bylaws).

Founders’ Assembly
The Founders’ Assembly is composed of all the Promoting Founders, Honorary Founders and Participating Founders. It is chaired by the President of the Foundation who convenes it at least once a year.
Among the main competences of the Founders’ Assembly, it shall:
- appoint its members within the Board of Directors;
- execute changes to the Bylaws, except for those of those reserved for the Governmental Authority;
- execute changes to the “Charter of Values”;
- approve the three-year guidelines for the activities of the Foundation and any Rules of Procedure for the assembly meetings;
- appoint the Scientific Committee.
Supporting Members’ Assembly
It is composed of all Supporting Members.
The Supporting Members’ Assembly is chaired by the President of the Foundation who convenes it at least once a year. The Supporting Members’ Assembly appoints its own member within the Board of Directors. The Assembly may formulate advisory opinions and proposals with regard to the activities, programs and objectives of the Foundation, either already defined or to be defined.
